1. Introduction

Welcome to NTO.digital.

NTO.digital provides digital infrastructure, technology, websites, platforms, systems, automation, digital services and related solutions designed to help businesses operate, connect with customers and participate in digital commerce.

These Terms and Conditions (“Terms”) govern your access to and use of NTO.digital websites, platforms, services, digital products and related systems.

By accessing, using or purchasing any service or product from NTO.digital, you agree to be bound by these Terms.

If you do not agree with these Terms, you should not use the relevant service or purchase the relevant product.

2. NTO.digital’s Role

NTO.digital primarily operates as a technology and digital infrastructure provider.

Our role may include providing:

NTO.digital may also offer a limited number of products, subscriptions, digital services or other offerings directly to customers.

Unless expressly stated otherwise, NTO.digital is not the seller, supplier, manufacturer, agent or owner of products or services offered by independent third parties through platforms powered, developed or supported by NTO.digital.

3. Relationship Between NTO.digital and TradeMzansi

NTO.digital may provide the technical infrastructure, development, hosting, integrations, systems and other technology supporting TradeMzansi.

TradeMzansi is intended to operate as a marketplace connecting buyers, sellers, businesses, suppliers and other participants.

Where a product, service, vehicle, property, business opportunity or other offering is supplied by an independent third party through TradeMzansi, the relevant transaction is primarily between the buyer and the relevant seller, supplier, advertiser or service provider.

NTO.digital does not automatically become a party to such transactions merely because its technology supports the platform.

4. Third-Party Sellers and Listings

Third-party users may create listings or offer products and services through platforms supported by NTO.digital.

Such third parties are responsible for:

NTO.digital does not guarantee the accuracy, completeness, legality, quality, safety or availability of third-party listings.

Users should conduct appropriate due diligence before entering into a transaction with a third-party seller or service provider.

5. Limited Direct Sales by NTO.digital

NTO.digital may from time to time sell certain products or services directly to customers.

Where NTO.digital is the direct seller or service provider, the relevant product or service description, quotation, invoice, checkout page or additional terms may specify:

Where additional terms apply to a specific product or service, those terms will be read together with these Terms.

If there is a conflict between these Terms and specific terms expressly provided for a particular product or service, the specific terms will apply to the extent of that conflict.

6. Digital Services

Where you purchase a digital service from NTO.digital, the scope of work will generally be determined by the applicable quotation, package, proposal, invoice or service description.

Unless expressly included, services do not automatically include:

Additional work outside the agreed scope may be charged separately.

7. Payments

Payments must be made using the payment method or payment instructions provided by NTO.digital.

NTO.digital may use third-party payment providers to process transactions.

Payment information may therefore be processed by the relevant payment provider under that provider’s terms and policies.

Where a payment is unsuccessful, reversed, disputed or otherwise not received, NTO.digital may suspend or withhold the relevant service until the matter is resolved.

8. Subscriptions

Where NTO.digital offers a subscription service, the subscription price, billing interval and applicable conditions will be displayed or communicated before or during subscription.

Unless otherwise stated, subscriptions may automatically renew according to the selected billing period.

Customers are responsible for cancelling subscriptions in accordance with the applicable cancellation process before the next billing period if they do not wish to continue.

NTO.digital may suspend or terminate a subscription where payment remains outstanding or where the customer materially breaches these Terms.

9. Cancellation and Refunds

Cancellation and refund rights depend on the nature of the product or service purchased.

For digital services, subscriptions and customised work, the applicable cancellation and refund conditions may be specified in the relevant quotation, invoice, service agreement or product page.

Where NTO.digital is legally required to provide a refund, cancellation right or other consumer remedy, nothing in these Terms is intended to exclude or restrict that right.

NTO.digital may not be able to provide a refund for work that has already been completed, delivered or substantially performed, subject to applicable law and the specific terms of the purchase.

10. Marketplace Transactions

Where a transaction takes place between a buyer and an independent third-party seller through a marketplace supported by NTO.digital:

NTO.digital is not responsible for the underlying transaction unless NTO.digital is expressly identified as the seller or contracting party.

This includes disputes relating to:

You may not reproduce, copy, modify, distribute, sell, reverse engineer or commercially exploit NTO.digital intellectual property without permission.

Third-party trademarks, logos, images and content remain the property of their respective owners.

To the extent permitted by law, a user may be responsible for losses, claims, costs or expenses arising from their unlawful use of NTO.digital services, violation of these Terms, infringement of another person’s rights, or fraudulent or misleading activity.
